1. Services

In order to obtain the services provided by Isinolaw Limited (Isinolaw), the Subscriber shall accept the terms of this Agreement and other publicly available policies issued and modified by Isinolaw from time to time. The services provided by Isinolaw shall refer to the provision and dissemination by Isinolaw of China related legal and other resources and information which may be made available to the Isinolaw's subscribers and updated from time to time in the websites owned and operated by Isinolaw on the internet, including but not limited to http://www.isinolaw.com (" Isinolaw Services").

2. License

2.1 Upon signing this Agreement, completing the registration process and paying the relevant subscription fee, the Subscriber obtains the Isinolaw Services under this subscription with the relevant rights and obligations as stated in this Agreement. The Isinolaw Services will become available for the Subscriber on the Start Date specified in the Registration Form.

2.2 All interest, right, title and benefit in and of the data or any part thereof including and not limited to copyright and intellectual property right, in any language, format, form whether in printed or machine-readable form, fashion, manner or media throughout the world belong to and shall continue to belong to Isinolaw and / or its providers or contributors. For the avoidance of doubt, the Subscriber acquires no proprietary right or interest in the data by entering into this Agreement. Proper acknowledgement is required for use or quoting data.

3. Access to Isinolaw

3.1 Notwithstanding the subscription in pursuance of this Agreement, the Subscriber shall not reverse, engineer, decompile, dissemble, damage, tamper with or otherwise attempt to determine or intermeddle with the data and / or the source code of the components or data or the systems of Isinolaw.

3.2 The Subscriber shall (i) not use the data or the access to Isinolaw Services for any illegal, improper, obscene or defamatory purposes; (ii) not carry out or allow any act of copyright or intellectual property infringement; and (iii) accept all the Isinolaw's disclaimer notice and the limitations of liability set out in this Agreement.

3.3 The Subscriber shall give password(s) or other access information only to authorized users and use all reasonable endeavors to ensure that the authorized users do not divulge their passwords or other access information to any third party. The Subscriber shall also use reasonable endeavors to monitor compliance and immediately upon being aware of any unauthorized use or other material breach, take all reasonable and appropriate steps, including disciplinary action, both to ensure that such activity ceases and to prevent any recurrence.

3.4 Isinolaw Services and/ or data may be changed from time to time without prior notice.

4. General Disclaimer

4.1 Isinolaw hereby expressly disclaims any responsibility, representation or warranty (i) with regard to the quality, operation, use, accuracy or timeliness of or the fitness or use for any purpose of Isinolaw services or data; (ii) with regard to any goods or services accessed, offered or obtained through Isinolaw or pursuant to the data; (iii) that any access to Isinolaw or data will be uninterrupted or error free or that the data does not contain any viruses, or contaminating or destructive materials or substances; (iv) that the data will not be offensive or objectionable to the Subscriber or any other person; and (v) for any error, mistake, omission or misstatement in or arising from the Isinolaw Services.

4.2 Isinolaw does not endorse or recommend any person, organization, name, product or service referred to in the data, nor does the data constitute Isinolaw's views or opinion. Further, Isinolaw will not be a party to any transaction between the Subscriber or its agent(s) and any third party in any way relating to the data or made through Isinolaw or Isinolaw Services unless and only to the extent otherwise reduced into writing by Isinolaw with authorized signature.

4.3 Without prejudice to the generality of the disclaimer notice displayed on Isinolaw's website, the Subscriber hereby confirms the understanding and agreement to accept that the information on Isinolaw websites does not purport to be formal or professional legal advice but are general opinions for informational purposes only. The information may not contain the latest legal developments nor do they form any legal or other advice on any particular subject or matter. The Subscriber is strongly suggested to seek legal opinions from its lawyer before any legal action is taken. No lawyer / client relationship is constituted in the use of the Isinolaw website or the said information. Isinolaw and its contributors are not responsible or liable legally or professionally or otherwise for the Subscriber's use of the said information or for anything done or omitted to be done in reliance of the said information. Further, Isinolaw will not be a party to any transaction between the Subscriber or its agent(s) and any third party in any way relating to the data or made through Isinolaw or Isinolaw Services.

5. Limitation of Liability

Isinolaw shall not be liable to the Subscriber or any other person whether in tort, by contract, under statute or otherwise (including without limitation, for negligence, breach of contract, defamation, or infringement of copyright and / or other intellectual property rights) for (i) any direct loss or damage; (ii) any consequential, special or indirect loss or damage (including but not limited to the loss of revenue or profits); or (iii) the liability of the Subscriber or to any person or third party which is suffered or incurred by the subscriber or any other person or third party arising under or in any way out of the data or the Isinolaw Services. Without limitation to the foregoing, Isinolaw accepts no liability to the Subscriber or any other person, body corporate, unincorporated association or any authority governmental or otherwise for any failure, delay, malfunction or non-performance of the Isinolaw Services.

6. Confidentiality

Isinolaw does not warrant or accept any responsibility for confidentiality of any information or data whether personal or otherwise transmitted to it. Without prejudice to the foregoing, Isinolaw's practice is to take reasonable steps to maintain confidentiality.

7. Termination

Isinolaw may terminate this Agreement immediately if the Subscriber breaches this Agreement or if the information provided by the Subscriber is found to be false or fraudulent or by its sole discretion.

8. Notices

All notices are deemed to be effectively served if sent to Isinolaw at Suite 5807, The Center, No. 99 Queenˇs Road Central, Hong Kong for the attention of Customers Service or to the Subscriber at the Subscriber's address provided in the subscription form or in the Subscriber's registration.

9. Numbers and Genders

In this Agreement (if the context permits or requires) words importing the singular number only shall include the plural number and vice versa; words importing the masculine gender only shall include the feminine gender and neuter gender and words importing persons shall include corporations.

10. Assignment

10.1 The Subscriber is not entitled to assign this Agreement or all or any of the Subscriberˇs rights and obligations hereunder without the prior written consent of Isinolaw.

10.2 Isinolaw may assign its rights under this Agreement or any part thereof, transfer its obligations hereunder or any part thereof, subject to the terms of this Agreement, and for this purpose may disclose to a potential assignee or transferee such information about the Subscriber as shall have been made available to Isinolaw.

11. Applicable Law

This Agreement shall be governed by and construed in accordance with the laws of Hong Kong. The Subscriber irrevocably agrees that any dispute arising out of or in connection with this Agreement shall be subject to and within jurisdiction of the courts of Hong Kong.
